2. IDENTIFICATION
身份
2.1 The Seller is the legal and beneficial owner of the goods described in the Annexure.
卖方为所列货物的合法和实际所有人。
2.2 The Buyer is a legally registered entity and has the capacity to enter into this Contract.
买方为法律注册实体，有签订本合同的能力。
3. RIGHTS AND OBLIGATIONS
权利和义务
3.1 The Seller shall sell and the Buyer shall purchase the goods described in the Annexure.
卖方销售所列货物，买方购买所列货物。
3.2 The Seller shall use reasonable care in the preparation of the goods for delivery and shall ensure that the goods are in good condition at the time of delivery.
卖方将在交货前合理地准备货物，并确保货物在交货时处于良好状态。
3.3 The Buyer shall pay the purchase price in accordance
with the terms of payment set out in this Contract.
买方按照本合同所列付款条件支付货款。
3.4 The Buyer shall bear all costs related to the transportation of the goods, including but not limited to shipping, insurance, customs clearance fees and import taxes.
买方承担与货物运输相关的所有费用，包括但不限于运费、保险、清关费和进口税。
3.5 The Buyer shall inspect the goods upon receipt and notify the Seller of any defects within [Number of Days] days of receipt
of the goods.
买方应在收到货物后进行检查，并在收到货物后[天数]天
内通知卖方如有任何瑕疵。
4. PERFORMANCE
履行
4.1 The Seller shall deliver the goods to the Buyer in accordance with the delivery terms set out in the Annexure.
卖方将按照附件所列交货条款向买方交付货物。
4.2 The delivery date set out in the Annexure is an estimate only and the Seller shall not be liable for any delay in delivery.
附件所列交货日期仅为预计，卖方不对交货延迟承担责任。
4.3 The Seller shall deliver the goods in accordance with the delivery terms set out in the Annexure. Delivery shall be deemed to have occurred at the time when the goods are delivered to the port of shipment or the buyer’s designated place of delivery.
卖方将按照附件所列交货条款向买方交付货物。交货视为在货物交付运输港口或买方指定交货地点的时刻实现。
4.4 Any delay or failure of the Seller to deliver the goods shall not give rise to any right of the Buyer to terminate the Contract or claim damages unless such delay or failure is due to the Seller’s wilful misconduct or gross negligence.
除非因卖方故意或重大过失造成的延误或交货失败，否则卖方延误或交货失败不得使买方终止合同或要求赔偿。
5. DURATION
期限
5.1 This Contract shall come into effect upon the date of its execution and shall remain in force until the goods are delivered and the obligations of the parties have been fulfilled.
