甲方现就与关于事宜，委托乙方

代理该案。双方经平等协商，订立如下条款，共同遵照履行：

Party A hereby with respect to matters en trusted Party B

as the agency of the above case. The two parties through consultation hereby

agree upon ， and shall be bound by ，the following terms:

1. 委托及人员指定/Agency & Officers Designated

1.1. 乙方接受甲方的委托，指派律师办理甲方上述事项的谈判、

协商、和解、调解、一审代理、二审代理、代理申请执行。

Party B accepted the en trustme nt of Party A and appo in ted Lawyer to deal with the transaction ， negotiation ， conciliation ， mediation ， the first trial proxy，the second trial proxy，the application for execution of the above matters of Party A.

2. 代理权限/ Agency Authority

2.1. 乙方代理权限为1、一般代理。或2、代为承认、放弃、变更诉讼请求，进行和 解、调解，提起反诉或者上诉，申请执行，代为签收、签发法律文书

The age ncy authority of Party B is: 1.Ge neral age ncy; 2. To admit

modify claims ， to participate in reconciliation or mediation

coun terclaim or an appeal ， to apply for executi on

instruments on Party A ' s behalf. 3. 甲方义务 /Responsibility of Party A

3.1. 积极配合乙方律师相关工作，提供必要的文件资料，并对所提供文件资料的真实 性、合法性、准确性及完整性负责；

Party A should cooperate with the work of Party B positively and provide

n ecessary materials. Party A should be resp on sible for the authe nticity

legality ， accuracy and completeness of the documentation provided; 3.2. 甲方必须如实向乙方律师陈述案情，提供有关本案的证据。乙方接受委托后，发 现甲方捏造事实弄虚作假，有权终止法律服务，依约所收费用不予退还；

Party A should prese nt its case to Party B truthfully and provide evide nee of

the case. After accept ing the commissi on ， Party B has the right to term in ate the legal services if Party A fabricates the facts or frauds. The fees which

have bee n charged accord ing to the con tract are non-refun dable.

3.3. 根据本协议按时、足额向乙方支付法律服务费。

4. 乙方义务/Responsibility of Party B

4.1. 乙方应勤勉尽责、谨慎地执行甲方委托的法律事务，依法维护甲方合法权益;

Party B should be positive and responsible for Party A to provide services within

the scope of the con tract ，and to do its utmost to safeguard the in terests of Party A;

4.2. 无论何时，乙方对服务过程中获知的甲方任何秘密均负有保密义务，非由法律规

定、司法裁决或者甲方同意，不得向任何第三方披露；

Whe never, in formed of Party A ' s all in formatio n ， party B should un dertake the duty of con fide ntiality obligati ons ，and should not disclose them to any

third party without the permissi on of Party A ，laws or judicial decisi ons;

4.3. 乙方对甲方业务应当单独建档，应当保存完整的工作记录，对涉及甲方的原始证据、法律文件应当妥善保管。

Party B shall keep separate files and complete docume nts of the work records

for Party A. The origi nal evide nee and legal files related to Party A should

be kept properly.

4.4. 收费/Charge

因本协议工作产生的文印费、翻译费、相关部门收费及武汉中心城区外的交通、食宿等

必要费用由甲方承担。
