Week 13 (Principles of Partnership – actual/apparent authority, acting within the scope – duty not to compete)QUESTION 1Chloe is a lawyer located in Brisbane and Kate is an accountant on the Gold Coast. Chloe is in a partnership with Megan operati ng a law firm (“the Brisbane partnership”). Without Megan’s consent or knowledge, Chloe and Kate enter an agreement in which Kate will pay Chloe a fee for each client referred to Kate by Chloe. Chloe subsequently receives a number of payments from Kate and deposits them into her personal bank account.Noting the success of Kate’s accounting practice, Chloe agrees with Kate to form a partnership on the Gold Coast providing accounting and legal services (“the Gold Coast partnership”). Initially, it is agree d that Chloe will provide the legal services “after hours” until Chloe has a sufficient client base so that she can retire from the Brisbane partnership and move permanently to the Gold Coast. As an initial capital contribution to the Gold Coast partnership, Chloe combines her referral fees with $10,000 she withdrew from the Brisbane partnership trust account. The $10,000 represented compensation that was to be paid to one of Chloe’s personal injury clients. Megan finds out about the Gold Coast partnership one week after it commences business.Advise Megan as to all relevant matters under the Partnership Act 1891 (Qld).Issue 1: Is there has the partnership between Megan, Chloe and Kate? Law:Section 5Partnership Act (“PA”): Two or more pers ons who:1. carry on a business (Smith v Anderson (1880))2. in common (Kang-Kem v Paine (2004) )3. have a view of profit (United Dominions Corp Ltd. V Brian Pty Ltd (1995))Section 6 PA: Adds to the basic definition of partnership three specific rules as to whether a partnership exists:1. s6 (1)(a) - co-ownership of property,2. s6 (1)(b) - revenue sharing, and3. s6 (1)(c) - profit and loss sharing.Application: From the information given, it would appear that in this case, Chloe and Megan's party does not carry on the business between Chloe and Kate because there is a isolated transaction. are carrying on business, but, Chloe and Megan's party are in common because they operating a law firm (“the Brisbane partnership”)which is repetition of acts operating the same firm((Smith v Anderson (1880), (Kang-Kem v Paine (2004)), and they also have a view of profit because they intended to the profit((United Dominions Corp Ltd. V Brian Pty Ltd (1995)). (Section 5 PA). And they will share the profit. (Section 6 PA). while, Ch loe without Megan’s consent or knowledge, to enter an agreement by Kate, so, there is no partnership between Megan and Kate.Issue 2: Is the firm liable for the Chloe’s actions?Section8 PA- Power of partner to bind the firm(Polkinghorne v Holland (1934))Section10PA - Partner using credit of firm for private purposes (Goldberg v Jenkins)Section12 Liability of partners-(Kendall v Hamilton (1879))Section13PA Liability of the firm for wrongs (torts)Section14PA - Misapplication of money or property received for or in custody of the firmSection 15 - Liability for wrongs joint and several (Proceedings Commissioner v Ali Hatem [1999])Application: I n regard to the matter between Chloe and Megan,There is a partnership which means Chloe has authority to do the decisions for firm (S8 PA-(Polkinghorne v Holland (1934)), and Chloe receive the payment is not to personal use (S10PA - (Goldberg v Jenkins)), and both Chloe and Megan are liable for this payment. In the S13, Chloe was acting either in the ordinary course of the firm’s business or with the actual or apparent authority of his or her co-partners. And in S14 (1) (a), Chloe is acting within the scope of the partner’s apparent authority to receive the money. Therefore, Megan has separate liability.Issue 3: Has Chloe breached a fiduciary duty owed to the firm?Section 27(1)(a): sharing of profits and losses, unless partners have agreed to share profits and losses according to capital invested or in some other way.(Kilpatrick v Mackay (1878))Section 27(1)(b): Indemnity for incurring personal liabilities - What they did was necessarily done for the preservation of the business/property of the firm.Section 27(1)(g): Introduction of new partnersPartner cannot be introduced without consent of all partners, but may be entitled to assign partnership interest (Section 34)Section 28: Expulsion powerMust be contained in express agreement between the partners, and must be exercised in good faith and strictly in accordance with the terms of the agreement.Section 31-Duty to Render Accounts - Partners must render (i.e. provide) true accounts and full information of all matters affecting the partnership(Law v Law [1905])Section 32-Account of Profits- Duty to account for private profitsPartners must account to their co-partners for profits they make without their knowledge and consent or as a result of information gained during the course of the partnership.(Birtchnell v Equity Trustees (1929)Section 33-Competing with the Firm –The partner must not carry on a business of the same nature as the firm (Aas v Benham); and That business must not compete with the firm.Application: I n regard to the matter between Chloe and Megan, there is no agreement between Chloe and Megan, so, Megan is disagree to share the profit/loess (Section 27(1)(a) (Kilpatrick v Mackay (1878)), and there is not the ordinary and proper conduct of the business of the firm (Section 27(1)(b)), and also Megan do not know who is Kate (Section 27(1)(g)). In the S28, Must be contained in express agreement between the partners, and must be exercised in good faith and strictly in accordance with the terms of the agreement. In this case, Chloe do not have a good faith and strictly in accordance with the terms of the agreement because he does not ask Megan to have another partnership. So, there’s no relationship between Megan and Kate. Moreover, In regard to the matter between Chloe and Megan, Chloe subsequently receives a number of payments from Kate and deposits them into her personal bank account. But in Section 31, Partners must render (i.e. provide) true accounts and full information of all matters affecting the partnership(Law v Law [1905]). Observably, in this case, Chloe do not show her account to the Megan. This is also in Section 32, Partners must account to their co-partners for profits they make without their knowledge and consent or as a result of information gained during the course of the partnership (Birtchnell v Equity Trustees (1929). Moreover, in Section 33, Chloe can not have the same nature as the firm between her and Kate,(Aas v Benham) and she does not give the half part of money which receives from Kate from her personal account. And also .Issue 4: How is the Chloe and Megan dissolution of partnership?Law: Section 35 (a) (b):(a)Fixed term partnership (time period): Terminate upon expiry of time(c) A partnership at will: Terminates upon one partner providing notice to all the other partners of its intention to dissolve the partnership.Section 36 - By Bankruptcy or Death, subject to any agreementSection 37 - By IllegalitySection 38-(a)Permanent Insanity(b)Permanent Incapacity. e.g. paralysis(e)The business can only be carried on at a loss in which the loss must be of a permanent natureApplication: I n regard to the matter between Chloe and Megan, Chloe could wait the partnership terminate upon expiry of time because Chloe will retire as soon as possible, and she also could notice Megan who is her partner in the Brisbane partnership she intention to dissolve the partnership(Section 35 (a) (c)). Chloe and Megan’s business does not have the huge loss or bankruptcy to any agreement and also legality (Section 36, Section 37). Moreover, it is agreed that Chloe will provide the legal services “after hours” until Chloe has a sufficient client base so that she can retire from the Brisbane partnership and move permanently to the Gold Coast. Specifically, Chloe and Megan’s business can work normally and do not permanent insanity (Section 38 (a) (b) (e)).Issue 5: How Chloe and Megan distribution of assets on dissolution?Section 23: All property brought into the partnership or purchased on account of the firm is partnership property.Section 47 - Distribution of Partnership PropertyConclusion: in regard to the matter between Chloe and Megan, because of Chloe make a new partnership with Kate which time he do not finish his old partnership with Megan, so, we can suggest that Chloe receive the property is the partnership property(Section 23). Section 47 said that payment of remaining partnership property to the partners in equal shares, subject to a contrary agreement on profit/loss sharing. Therefore, Chloe receive the property must equal share with Megan. On the balance of probability, there us a partnership between Chloe and Megan, and the firm should liable for the Chloe’s work. However, in the situation of the business do not dissolution between Chloe and Megan, Chloe do not ask and provide a notice to Megan of she intention to dissolve the Brisbane partnership to make a new partnership with Kate, it is breach his fiduciary duty. Therefore, Chloe must equal share the property what receive from Kate about $10000, so, Megan can get $5000.。
Conversation 1:RACHEL WRIGHT: Penelope was born here under water six weeks ago. Her mother says after four difficult births, she wanted to try something different.JANE ATTENBOROUGH: My first four deliveries were quite complicated, with epidurals and lots of intervention, and this time I had the water birth and it was wonderful. She is a little darling, very calm, and I’m sure that’s part and parcel of having a baby in the water.RACHEL WRIGHT: Jane’s midwife, who helped bring Penelope into the world, has delivered many babies under water.JEAN PATERSON: A baby won’t breathe under water, there is an instinct, the diving instinct which, er, makes the baby hold its breath until it, until it surfaces.RACHEL WRIGHT: Babies at this Aqua Tots class don’t seem to have any problem holding their breath. Some of them are as young as three months old. And all appear to be able to swim above and below the water, even if they don’t always enjoy the experience. But not everyone believes this is instinctive. Dr Ruth Gilbert has done extensive research into water births, and says that although it’s hard to prove water births are more dangerous than other types, she thinks women should be aware of the risks.DR RUTH GILBERT: We know that there are cases of babies drowning of nearly drowning, and that’s because they, they breathe as they’re being delivered before they get to the surface of the water. Now, one way to try and reduce that risk is to bring the babies to the surface of the water very quickly, but we know ther e’s cases of that causing traction on the cord, and several cases of snap, the umbilical cord snapping during delivery.RACHEL WRIGHT: But despite these warnings, proponents of natural childbirth still believe all possible options should be available to expectant mothers.BELINDA PHIPPS: I think that every single woman should be offered the opportunity to use a birth pool, certainly in labour. Some women will then want to go on and have a baby, their baby born in water. I don’t know how many that’ll be, we don’t have the research, we don’t know that, but at least women need to have the choice.RACHEL WRIGHT: Every birth has an element of risk, but mothers like Jane here tell me that even if there is the tiniest risk of serious injury, the benefits of a water birth make it all well worth it. It’s sweetening the fruit and even producing a rare sight in an English vineyard: bunches of fully ripened, lush, black grapes. But the important thing about this year’s weather is that it’s done to the flesh of the grape. The warm but relatively moist summer means ther e’s plenty of juice in them, and the hot sunny September means that that juice is very sweet. The two things, a recipe for a tasty and full-bodies wine.TOM HEAP: There are actually fewer bunches on the vine this year, Rainstorms in July spoiled some of the yond buds, so the plants put more effort into the fruit that remains. Nature has made more sugar which fermentation turns to alcohol.MAN 1: We’ve had a very, very god ripening period at the end of the year which has meant that we’ve got beautifully ripe grapes, lots of flavor, lots of character, and some of the wines that are in these tanks are going to rival some of the best wine produced in Europe this year.TOM HEAP: There’ll only be proof, of course, when it’s ready to drink next summer. TOM HEAP: And this is a typical proving ground. London’s Crescent Wine Bar doesn’t currently stock English wine. It’s going to be a hard sell.WOMAN 1: Er, I don’t think I’ve ever drunk English wine.MAN 2: Why would you buy a wine for yourself you know nothing about with a very bad reputation?WOMAN 2: You think of England, you think of ale, cider. You don’t think of wine. MAN 3: So if you give a bit of air, swirl it round …TOM HEAP: But the critics think our palates could be in for a surprise.MAN 3: On the dry white wines, we’re going to have wines with a lot more flavor, a lot more intensity, which is, which is wonderful. They’ll still be fresh and crisp but they’ll have a lot more fruit flavor, which is, which everybody likes. And this year we’re going to make some nice reds, which makes a change, so you’ll be able to have some good reds for once.TOM HEAP: Less than one per cent of the wine drunk in this country comes from our own vines. The growers’ fervent wish is that this good vintage will change the image of English wine and permanently boost consumption, even when the weather is not so kind. TPassage 1:Since we've been discussing alternative fuels lately, I wanted to pass on to you some information I read about a new fuel that's been in the news a lot lately. It's called A-21. It's composed of water and a chemical known as naphtha. It seems to be a very promising fuel because it's much cleaner than the gasoline that we use today. That's not to say that it doesn't pollute, but it is cleaner. A-21 isn't like some other alternative fuels that require completely new types of engines. A-21 still works in regular, everyday combustion engines - like the ones in cars with onlyminor mechanical modifications. So changing over wouldn't be a big deal. You may doubt some of these claims as many researchers have. Some people feared that because it contains about 45% water, it would freeze in the winter. But a small amount of antifreeze was added to it, and that seems to have solved the problem. A-21 has recently undergone street tests in buses in Reno, Nevada. So far it seems to work just fine. This is a good thing, especially in Nevada, because the state government there has passed a law requiring that a large percentage of vehicles in Nevada run on alternative fuels. A-21 should help.Key:1. alternative2. composed3. promising4. pollute5. minor6. claims7. 45%8. added9. undergone 10. vehicles Passage 2:I'm glad you brought up the question of our investigations into the makeup of the Earth's interior. In fact, since this is the topic of your reading assignment for next time, let me spend these last few minutes of class talking about it. There were several important discoveries in the early part of this century that helped geologists develop a more accurate picture of the Earth's interior. The first key discovery had to do with seismic waves, remember they are the vibrations caused by earthquakes. Well, scientists found that they travelled thousands of miles through the Earth's interior. This finding enabled geologists to study the inner parts of the Earth. You see these studies revealed that these vibrations were of two types: compression or P waves andshear or S waves. And researchers found that P waves travel through both liquids and solids, while S waves travel only through solid matter. In 1906 a British geologist discovered that P waves slowed down at a certain depth but kept travelling deeper. On the other hand, S waves either disappeared or were reflected back, so he concluded that the depth marked the boundary between a solid mantle and a liquid core. Three years later another boundary was discovered - that between the mantle and the Earth's crust. There's still a lot to be learned about the Earth. For instance, geologists know that the core is hot. Evidence of this is the molten lava that flows out of volcanoes, but we're still not sure what the source of the heat is.Key:1. So the biggest advantage of electric cars is that they don’t pollute. However they will be in competition with gas powered cars. And that’s where the weaknesses come out.The big problem is that the batteries in electric cars weigh a lot relative to the amount of power they deliver. For instance in one electric car the batteries weigh four hundred kilograms and they provide enough energy to go 250 km before recharging, which take 8 hours.Compare that to a moderately fuel efficient conventional car it can go 400--700 km on a tank of gas.And refilling takes just minutes. If there are other drains on an electric car’s batteries besides a motor,headlights,air-conditioning or a heater, its already limited range would be significantly reduced. So automobile engineers are trying to make more powerful batteries that would increase the car’s range and make them more attractive to buyers. And if so, what's the perfect way to do it? That's the subject of today's Science in Action report. It may be hard to believe but scientists at the University of Bristol have been analyzing this question. And after a two-month study they devised a mathematical formula fordunking biscuits. So no more melting chocolate, or biscuit crumbs in the bottom of your cup, which is the fate of one in four biscuits that are dunked in tea, according to research by a biscuit manufacturer.Doughnut dunkers don't face the same problems because doughnuts are held together with an elastic net of protein gluten. This substance allows the doughnut to absorb liquid without breaking down its structure. The structure of a biscuit, however, is held together by sugar which melts when placed in hot tea or coffee. So what is the answer? The researchers, led by Dr Len Fisher, discovered that holding the biscuit in a horizontal position—or "flat-on"—has a significant effect on the amount of time that a biscuit can stay in hot liquid before falling apart. In fact this horizontal dunking results in a dunking time up to four times longer than traditional vertical dunking. What's the reason for this? It seems that the answer is related to diffusion, in other words, the length of time it takes for the liquid to penetrate the structure of the biscuit. Basically, it takes longer for the liquid to travel through the channels of a biscuit when it is laid flat on the surface of the liquid. Also the fact that when a biscuit is dunked horizontally, with the biscuit submerged in the liquid, and the chocolate coating staying out of the liquid, the chocolate helps hold the biscuit together. Another factor influencing the equation is the temperature of the tea – the hotter the tea, the faster the sugar melts. The researchers also found that by dunking a biscuit into tea or coffee, up to ten times more flavour is released than if the biscuit is eaten dry. So it's worth experimenting yourself. If you are wondering how you can perfect the horizontal dunk, the researchers have come up with an idea for a biscuit-holding device to make dunking biscuits easier. They are even now working on producing a table giving guidelines on dunking times for different types of biscuits. On that note, I think it's time to go off to the canteen for a tea break!Key:1. People settle in these places because they are easy to get to and naturally suited to communications and trade. New York City, for example, is near a large harbour* at the mouth of the Hudson River. Over 300 years its population grew gradually from 800 people to 8 million. But not all cities develop slowly over a long period of time. Boom towns grow from nothing almost overnight. In 1896, Dawson, Canada, was unmapped wilderness*. But gold was discovered there in 1897, and two years later, it was one of the largest cities in the West, with a population of 30,000.Dawson did not have any of the natural conveniences of cities like London or Paris. People went there for gold. They travelled over snow-covered mountains and sailed hundreds of miles up icy rivers. The path to Dawson was covered with thirty feet of wet snow that could fall without warming. An avalanche* once closed the path, killing 63 people. For many who made it to Dawson, however, the rewards were worth the difficult trip. Of the first 20,000 people who dug for gold, 4,000 got rich. About 100 of these stayed rich men for the rest of their lives. But no matter how rich they were, Dawson was never comfortable. Necessities* like food and wood were very expensive. But soon, the gold that Dawson depended on had all been found. The city was crowded with disappointed people with no interest in settling down, and when they heard there were new gold discoveries in Alaska, they left Dawson City as quickly as they had come. Today, people still come and go —to see where the Canadian gold rush happened. Tourism is now the chief industry of Dawson City — its present population is 762.29. And how can we learn the answer when we haveno way of knowing what animals are thinking. Back in 1970, Gordon Gallup, a scientist from the State University of New York, developed a test calledthe“mirror self-awareness test”, according to Science Daily. His team of researchers painted a red dot* on the animal’s forehead*-which the animal could only see by looking into the mirror-and watched its reaction to the dot.In the test, some cats ignored their reflections* and just went away. Some attempted to look behind the mirror. Some even acted aggressively* toward the mirror. All of these behaviors show that cats think of their reflections as separate cats instead of as themselves. However, when chimpanzees saw the dots on their foreheads in the mirror, they first attempted to make direct contact with the reflections, then looked behind the mirror and finally touched their own fore-heads. This means the chimps realize that the dots are on their own bodies. That suggestsself-awareness.It's just like when you look into the mirror and see something on your face-you touch your own face to brush it off instead of reaching for the image in the mirror.Very few animals pass this test and cats cer tainly don’t. Besides chimpanzees, other animals that seem to have a sense of self include gorillas, dolphins and elephants. However, the mirror test has received plenty of criticism*.People say that although it proves that certain animals are self-aware, it can't be used to prove that other animals are not. They say that it's unfair to the animals that rely* more on senses other than sight, such as cats and dogs. It's also possible that by not touching the spot, the cat is simply showing that it doesn’t ca re about cleaning it.33. What’s the purpose of the test that was developed by Gordon Gallup in 1970?A. To find out why cats love playing with mirrors.B. To test whether animals have self-awareness.C. To test the intelligence of different animals.D. To find the differences between cats and other animals.34. What happened to the animals in this test according to the passage?A. Cats didn't see the red dot in their reflections.B.
